An LLC operating agreement is the internal agreement that governs the LLC’s ownership, management and operating rules. It can address contributions, voting, distributions, transfers, management authority, records, member exits and dissolution. The formation filing and operating agreement do different jobs: the state filing forms the entity; the operating agreement organizes the relationships and rules inside it.
Why the Operating Agreement Matters
The operating agreement is where the LLC turns broad state-law defaults into company-specific rules. A strong agreement makes authority and expectations easier to prove: who owns what, who can bind the company, how votes work, how money is handled, and what happens when a member leaves or the company winds down.
Your Articles/Certificate of Organization or Formation is the public state filing. The operating agreement is the internal governance layer. Do not substitute one for the other.

State-Specific Rules Matter
There is no safe national shortcut such as “exactly five states require an operating agreement.” State statutes use different concepts of adoption, form, timing and enforceability. New York requires members to adopt a written operating agreement and allows it before, at, or within 90 days after filing. Missouri says the member or members shall adopt an operating agreement. Maine requires an LLC agreement to be entered into or otherwise existing, while its statutory definition can include written, oral or implied agreements. Delaware likewise recognizes written, oral or implied LLC agreements. California defines operating agreements broadly but requires writing for certain provisions and modifications. Operating Agreement & Business Banking
A bank or financial institution may ask for formation documents, an EIN, ownership information, resolutions, an operating agreement, or other evidence of authority depending on the institution and account. Do not promise that every bank requires the operating agreement; keep a signed copy ready because it can help document who owns the LLC and who is authorized to act for it.

When to Review or Amend the Agreement
Review the agreement when ownership changes, a member joins or leaves, management authority changes, contribution obligations are renegotiated, voting rights change, the LLC enters a major financing or succession event, or state law changes in a way that affects the agreement. Keep prior signed versions with the company records.
After the entity is formed and the internal governance document is in place, move to the federal tax-ID step when the LLC needs an EIN.
