What the Articles of Organization Do
The Articles of Organization is the single document that legally creates your Wyoming LLC. You file it with the Secretary of State through the WyoBiz online portal, pay the $100 fee, and the moment it's approved your LLC officially exists. With online filing, that approval is immediate.
The form is short and asks only for the essentials. Notably, Wyoming does not require you to list members' or managers' names — which is exactly why Wyoming is known for privacy.
What the official Wyoming Articles form asks for
The current Secretary of State paper form is short, but several fields matter:
- LLC name: the legal name that satisfies Wyoming's LLC naming rule.
- Close-LLC election: the form includes a checkbox for electing close limited liability company status.
- Registered agent: agent name plus physical Wyoming registered-office address.
- LLC addresses: mailing address and principal office address.
- Organizer: organizer signature, date and printed name, plus contact person and daytime phone.
- Email / electronic service: the form requires email information and includes a certification concerning electronic service of process.
What is not on the standard Articles formThe current paper Articles do not contain dedicated fields asking you to list LLC members or managers. That is narrower and more accurate than saying a Wyoming LLC is automatically “anonymous.” Other filings, registered-agent records, banking, tax, licensing and legal requirements can still require identifying information.

How to File
- Go to WyoBiz Online (wyobiz.wyo.gov) and start the LLC filing.
- Enter your details — name, registered agent, addresses, and organizer.
- Pay $100 (plus the small card-processing fee) and submit — online approval is immediate.
- Save your stamped Articles — you'll need them for banking, your EIN, and your records.
What happens after approvalYour only recurring state obligation is the $60 annual report, and the first one isn't due until your first formation anniversary month — not 90 days out like some states. Wyoming emails reminders at 60, 30, and 10 days before, and there's a 60-day grace period. No franchise tax, no separate initial report.
Mind whose name files thingsWyoming keeps members off the Articles, but the organizer's name and the annual-report filer's name become public record — and the state won't remove them later. If full anonymity matters, have your registered agent or formation service act as organizer and file your annual reports for you.
