Wyoming LLC Taxes — Step 8 of 8
Wyoming LLC taxation starts with the LLC's federal tax classification. Wyoming does not impose a general individual income tax, but an LLC can still have federal income/self-employment or corporate tax obligations plus Wyoming sales/use, employment, property, mineral or other activity-specific taxes. By default, a domestic single-member LLC is disregarded for federal income-tax purposes and a domestic multi-member LLC is generally classified as a partnership unless an election changes that treatment — where you'll owe federal income tax and self-employment tax. Let's break down exactly what you'll pay, with an estimator to run your own numbers.
Wyoming has no individual or corporate state income tax and no franchise tax, but a Wyoming LLC can still have federal, sales/use, employment, property, annual-license-tax, and home-state obligations depending on its activity and tax classification. A domestic single-member LLC is generally disregarded for federal income tax unless it elects corporate treatment; a domestic multi-member LLC is generally a partnership unless it elects otherwise.

How a Wyoming LLC Is Taxed
Federal treatment depends on the LLC's ownership and elections. A domestic single-member LLC is generally disregarded for federal income tax unless it elects corporate treatment. A domestic LLC with at least two members is generally classified as a partnership unless it elects corporate treatment. Wyoming does not impose individual or corporate state income tax, but other state, local, federal, employment, sales/use, property, and annual-license-tax obligations can still apply.
Generally disregarded for federal income tax unless a corporate election is made. An individual owner commonly reports an active trade or business on Schedule C, while some activities can instead belong on Schedule E or F.
Taxed like a partnership. The LLC files Form 1065 and issues each member a Schedule K-1.
For an individual owner carrying on an active trade or business, self-employment tax commonly applies to net earnings from self-employment. The base rate combines 12.4% Social Security (subject to the annual wage base) and 2.9% Medicare, with additional rules at higher incomes. QBI rules are also eligibility- and limitation-dependent, so they should not be treated as an automatic 20% deduction.

Could an S-Corp Election Save You Money?
Once your LLC earns a healthy profit, electing S-corporation tax status can lower your self-employment tax. With S-corporation treatment, an owner who performs services generally must receive reasonable compensation subject to payroll taxes; additional distributions can receive different employment-tax treatment, which is why the election needs a case-specific calculation.
- File Form 2553 to elect S-corp status (this is the S-corp form — not Form 8832, which is for C-corp treatment).
- There is no universal profit threshold. Whether an S-corp election helps depends on reasonable compensation, payroll/accounting costs, the owner's facts, and other tax variables.
- Adds complexity — payroll, a separate return (Form 1120-S), and reasonable-salary rules — so run the numbers with a CPA first.
Don't forget the home-state questionWyoming's zero income tax applies to the LLC at the Wyoming level — but you're still taxed where you live. If you reside in another state, your share of the profits is generally taxable on your home-state return, and you may need to register the LLC there too. Wyoming's tax magic is strongest for residents of no-income-tax states and location-independent owners.
